ARTICLE I

Organization Name

The name of the organization will be the Greater 69th Street Wildcats Athletic Association, Inc. as approved by the Internal Revenue Service on January 19, 2001. In addition to their fictitious name, the organization was also certified as a non-profit, 501c3 organization capable of receiving local, national and international funds from various sources.

The secondary name will be the Greater 69th Street Wildcats, also herein stated as “The Wildcats.” The words “TEAM” or “TEAMS” as used from time to time will refer to Football Players and Cheerleaders.

ARTICLE II

Association Address: The principle place of business of the Association is:

ARTICLE III

Purpose

The Greater 69th Street Wildcats is a nonprofit organization dedicated to youth. Its purpose is to promote the principles for active participation, sportsmanship and scholastic achievement in association with the football and cheerleading programs. The program will be implemented with the emphasis on teaching. The activities will occur in a positive and challenging atmosphere without an undue emphasis on winning. The program will be carried out in accordance with the by-laws and rules of the football conference in which The Greater 69th Street Wildcats are a voting member. Currently that conference is the Bert Bell Memorial Football Conference.

The Wildcats will field the required varsity football teams mandated by the conference.

The football/cheerleading programs will be conducted under the administration and supervision of the Board of Governors and the respective Head Coaches/Advisors in accordance with the by-laws and rules/regulations of the Wildcats.

ARTICLE IV

General Membership

Section 1: Eligibility

Any young person who is a resident of Upper Darby Township, Cobbs Creek, Yeadon, East Lansdowne, West and Southwest Philadelphia, Overbrook and Lansdowne or in an open territory, or who has acquired a waiver from a conference member is eligible to register for our program. Parents/Guardians of officially enrolled youths are members of the organization. The Coaches/Advisors and individuals sitting on the Board of Governors will also be considered “Members.” All Members must sign the Parents/Guardian, Coaches or Administrators Code of Ethics to finally confirm their Membership (starting in 2003).

Section 2: Hold Harmless Agreement Indemnification Clause that adheres to all Members

INDEMNIFICATION CLAUSE

1. Each party hereto agrees to indemnify the other and to hold the other harmless against any and all claims, damages, costs, expenses, fees (including reasonable attorney’s fees) incurred by the other in any third party claim, suit or proceeding instituted against the other which is inconsistent with any warranty, representation or covenant made by the indemnifying party provided such claim is finally adjudicated or settled with the indemnifying party’s consent (which consent shall not be unreasonably withheld). Either party may with-hold any monies due to the indemnifying party under this Agreement to pay the costs of any claim, suit or proceeding until the claim has been finally adjudicated or settled, however, if no claim is commenced within six

(6) months then any monies withheld shall be returned to the indemnifying party.

2. Each party hereto further agrees t indemnify the other if (a) either party shall have committed or shall commit any act or do anything that is or shall be an offense involving moral turpitude under Federal, State or Local laws, or which brings them into public disrepute, contempt, scandal, or ridicule, or which insults or offends the community, and which thereby injures the success of the other or any of the other’s services; and (b) either party shall make any statements in derogation of the other and such statements are made to the general public or become a matter of public knowledge; then at the time of any such act or at anytime within the (10) days after either party learns of such an act, in addition to either party’s other legal and equitable remedies, each party agrees to indemnify the other and hold harmless against any and all claims, damages, costs, expenses, fees (including reasonable attorney’s fees) incurred by either party as either party shall be in accordance with the provisions in section 1 above.

Section 3: Registration

No Child may participate in the program unless one of his or her legal parents/guardians Has signed the Wildcats Code of Ethics. In addition, each child must also sign their copy of the Code of Ethics. No child will be permitted to participate without a registration form filled out and the registration fee paid in full. No child will be permitted to participate without a physician filling out the Wildcats Physical form or by providing proof of a physical completed in the same year the child registers for our program.

a) Registration fees will be set by the Board of Governors b) The membership year extends from August 1 through July 31st c) All necessary forms must be received at the time of registration d) All fees must be paid in full prior to participation in any activity e) Throughout this document the word “TEAM” refers to Football Players and

Cheerleaders

1. Registration Committee Policies and Procedures:

a) All Football and Cheerleaders must have all forms in before they participate as well as money paid in full. (Code of Ethics if they are new, Registration Form, Medical Form, Money)

b) No one gets put on the master registration sheets that will be used for the

coaches to take roll unless they have all of their paper work in c) Take NO CHECKS. NO CREDIT CARDS. Cash or money orders only! d) We will need four to five receipt books that have carbon copies left in the

books. All parents who give money should get a receipt for the amount

they give. e) Parents must pay in FULL, payments can not be broken up. f) At the end of each registration day. The President, Vice President,

Treasurer, Secretary or Athletic Director should be handed the money and must sign off on a sheet that details what is being given to them in money orders and cash. The responsible committee member left when closing registration down must sign off on the transfer as well. The Treasurer and Assistant Treasurer will keep copies for the records to give a report to the Board when needed while a copy will go to the Chair of the Finance Committee for their records as well.

g) certified coaches. This is for those individuals who were coaching last year and for those came on board by May, 2004 and are certified to participate as instructors.

h) Keep a copy of both lists on disc (alphabetical master list / and / spread sheet broken down by team based on the)

i) Please review budget and keep in contact with Head Coaches to let them know where their numbers are. Some kids will be on vacation, and if the advertising hits right new kids might fill the slots of a kid that has been with the organization for a while. If there is no contact by the Head Coach with you in regards to their numbers when you reach their budget cap stop all registrations immediately. You can create a waiting list. Those that want to wait can pay their money and if we don’t have room we will give them their money back.

j) There are no refunds

k) Please weigh in all registered football players and note their summer weight by their names in the block provided when you place them on the list that is broken down by team. Write the weight of the football player on their registration form as well.

l) Do not take filled out registration forms without full payment. Parents/Guardians should keep the form until they bring the FULL payment. Only accept the forms when payment has been tendered in full.

m) A copy of the final numbers for the day should go to the President who will review the numbers make any necessary changes or present questions to the Registration Committee about the format. The President will share the information with the Vice President and Athletic Director for review. Once their review is done, the entire board will be updated on the numbers as well.

n) Please be fluid in Wildcat language. Know the basic information about the season, fund-raising, parents meeting dates, weight restrictions and more.

o) If you register a child that is 15 or more pounds over their weight restriction, please make sure you inform them that the child may not be able to play due to our liability process and let them know you have to speak to the Head Coach of their team first.

p) MOVE UP RULE If child is over their weight limit for their age group, the Head Coach of the next weight division, at their discretion, can allow the child to TRY OUT for their team. If the child makes the TRY OUT then he/she will be moved up. If the child does not make the try out then the child will continue to play with the children in their age group. If such action has to be taken, the child will not be eligible to play in an official game until they meet the weight requirements for that age group for that specific week.

Section 4: Meetings

a) The general membership meeting will meet annually at a place within the township, designated by the President during the month of October. Official Board of Governors meeting will be held at a place within the township every fourth Tuesday of the month when necessary.

b) Additional meetings of the general membership and/or Board of Governors may be called at any time by the President or upon the written request of at least 20% of the membership. The President or their designated liaison must give each individual member two week’s notice prior to such meetings taking place.

c) A quorum at any general membership meeting will consist of those members present.

Section 5: Voting

All votes will be decided by the majority of those present at any Executive Board and/or Board of Governors and/or General Membership meetings. The President may not vote during the initial ballot. However, in the event of a tie, the President will and may cast the deciding vote.

ARTICLE V

Board of Governors

Section 1: Purpose/Principles

The Board of Governors will ensure that the general purpose and principles of the Wildcats, as defined in Article III and in the Wildcats Mission Statement located on the 69th Street Overview and Website, are adhered to. In addition, the Board of Governors will assist and fill in where applicable when elected and appointed administrators are not available or are not able to full-fill their duties as leaders on the Wildcat organization. The Board of Governors is also charged with bringing additional resources to the Wildcat organization to develop and maintain its status as a WORLD CLASS Association. It will be the charge of the Board of Governors to establish a RECRUITMENT COMMITTEE to work directly with the Board to establish contacts with potential players, cheerleaders, coaches and new board members.

Section 2: Board of Governors

The Board of Governors will be elected by the existing Board Members. The Board of Governors will consist of: President, Vice President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Athletic Director, Assistant Athletic Director. The additional members of the Board of Governors will include the Head Coaches of the Varsity Football Teams, as well as the Cheerleading Squads needed to full-fill the Wildcats obligation to the Conference they are participating in. Currently, the additional members of the Board of Governors are: Head Coach of the Flag Football Team, Head Coach of the 80lb Football Team, Head Coach of the 100lb Football Team, Head Coach of the 120lb Football Team, Head Coach of the 145lb Football Team and Head Coach of the Cheerleading Squad. JV Coaches are considered Board Members as well, but their vote falls under the Head Coach of that division. JV Coaches have influence votes ½ vote in weight. JV Coaches should vote with their Head Coach, but if they do not their ½ vote will be respected as is.

Each board member, accept JV Coaches, has one full vote on the Board of Governors. The President will have the authority to appoint a board member to fill any vacancy, with the approval of the majority of the existing members. IN the event a member serves in more than one capacity, He/She will have only ONE vote. If there are two people serving as Co-Chairs for a Committee that committee only has ONE VOTE.

Section 3: Board Meetings

The Board will meet on the fourth Tuesday of every month and at such other times as deemed necessary by the President. The President, at his/her option, can change the day of the meeting provided 72 hours of advance notice is given to the Board Members. All Board Members must be given a week’s notice, prior to any Board of Governors meeting being convened. Any member who is absent from three consecutive Board Meetings, without just cause, is dismissed.

Section 4: Board Quorum

A quorum of the Board will consist of not less than four (4) members including either the President or Vice President and three other members.

Section 5: Duties of the Board

a) The Board will be responsible for the management of the football and cheerleading affairs, as well as the professional and business interests of the Wildcats, which include the development of a 5 and 10 year strategic plan.

b) The Board will implement the following procedures for investigating specific allegations against coaches, parents/guardians, players or other Board Members with regards to unsportsmanlike conduct or behavior that the Board feels may impede progress in the fulfillment of the Wildcats purposes. Parents Guardians and Fans are subjected to the following process as well.

1) The Athletic Director, through the Head Coaches Committee will investigate all parental complaints about coaches’ activities as well as any observations made by fellow Board Members. After all the facts have been gathered, including statements from the coach in question, they will be presented to the Board. If 75% of the Board agrees that an act has been performed that extends outside the boundaries of our club credo, a written cautionary note will be issued by the Board to the coach.

2) The second time unacceptable behavior is exhibited in the same season, upon 75% of the vote by the entire Board or the quorum, a coach may be asked to resign. If the coach does not resign willingly, the Board has a right to issue a statement to the general body that the coach in question’s title as “coach” has been officially removed from the Wildcat slate and that individual is no longer recognized as a “Coach.”

3) If a complaint is issued against a Board Member, the Board must investigate and report their findings to a Special Committee, which will be formed to rule on the complaint. The Special Committee will consist of two (2) board members, elected by the Board, a coach elected by the coaches and a parent who is not a member of the board and is agreeable to both the Board Members and the Athletic Director. If the Special Committee rules the complaint valid, The Board will issue a cautionary note. The second time unacceptable behavior is exhibited in the same season, upon 75% of the vote by the entire Board, the individual will be asked to resign. If the person does not chose to resign a public statement to the general membership will be issued stating that the individual in question is “no longer a member of the Board of Governors for the Wildcats.”

4) If any flagrant activity (e.g., fighting, crowd riots, alcoholic or criminal activity) is charged against any Coach, Board Member or General Member of the Wildcats, the Board may bypass steps 1-3 above and take whatever action is deemed necessary to correct the situation. This includes, but is not limited to involving officers of the law to support the Board’s corrective measures. If such measures are deemed necessary, any deposit or registration fee or membership dues are automatically forfeited and placed under the non-refundable category.

ITEM 5. Greater 69th Street Wildcats Disciplinary Actions to The Rules of Conduct

Violations will be brought to the Greater 69th Street Board of Governors for review and the determination of disciplinary action. If disciplinary action is deemed necessary, the Board shall convene a hearing in which all affected parties shall be given ample opportunity to testify concerning their witnessing or involvement in the incident. Upon hearing all witnesses and evidence, the Board shall review the same and render a judgment, including any disciplinary action necessary. Because of the infinite range of potential violations and severity of the same, it shall be the responsibility of the Board and the President to determine suitable disciplinary actions for the offense.

Examples of potential violations include:

1) Abusive, violent, or sexual contact with any child, staff member, fan, referee or any Participating person will result in immediate dismissal. (this could result into legal action by the organization)

2) Sexual or vulgar conduct or language is prohibited and shall not be tolerated. This could also be grounds for immediate dismissal

3) Language that is considered offensive from a racial, ethnic, religious or gender perspective is prohibited and will not be tolerated.

4) Sexual harassment is prohibited and will not be tolerated. (If toward a child, legal action and immediate termination will follow with lifetime suspension)

5) Drinking or selling alcoholic beverages, using or selling illegal substances or coming to any Greater 69th Street Wildcats or Bert Bell sanctioned event intoxicated or under the influence of illegal Substances is grounds for immediate dismissal and possible lifetime suspension. (this could result into legal action by the organization)

6) The act of gambling, or placing a bet on the games is prohibited and will not be tolerated. Cursing or abusive, demeaning or intimidating language in the presence of children, staff members, fans, referees or any participating person is prohibited and will not be tolerated.

7) Theft and/or misappropriation of funds, equipment, or any other Greater 69th Street Wildcat paraphernalia or the personal belongings of Wildcat members and fans is grounds for immediate dismissal from the organization. (this could result in legal action taken by the organization)

Examples of potential disciplinary action include(s):

Warning Letter:

The warning letter will be issued for the first time offenders of the rules of conduct. A letter will be issued per violation. The letter will explain the violation and when it occurred and who the violation was against. Anytime a violation occurs after the warning letter is issued, you will be placed into the second phase of the disciplinary action. The Warning Letter will come from the President or Vice President of the organization as an official document. This official document (on Wildcat letterhead -to be official), will be tendered to the alleged offending individuals with copies available to the Board of Governors only. General Members will not be privy to this document unless otherwise authorized by the alleged offending parties.

Practice/Game Suspension:

Practice and/or game suspension will be issued to those who violate any of the rules of conduct repeatedly. A practice and/or game suspension can be coupled with a warning letter if the violation warrants this particular action.

Season Suspension:

Season suspension will be handed out when there's an accumulation of violations or an offense is severe enough that the Board of Governors feel it is necessary to place the offender on a season suspension.

Lifetime Suspension:

A lifetime suspension will be issued if the violator has gone through the chain of suspensions or the violation is severe enough that the previous code of conduct penalties would be tabled in favor of a lifetime suspension.

Additionally, the Greater 69th Street Wildcats may pursue legal action as appropriate based on the nature and severity of the Code of Conduct violations. Should any legal action need to be taken against any party, the Wildcat organization will look to retrieve the legal fees incurred, from the opposing party, in full, and without prejudice.

Team Rules

1) Schoolwork and Homework is paramount. It is important that our athletes place their education first and sports second. Poor grades and incomplete homework and/or poor behavior will result in disciplinary action on the field as well. Although we would like our players and cheerleaders to have good reports from school and from their parents, if the child is not cooperating, the player or cheerleader, at the discretion of the coach can bench the athlete for one or more games along with disciplinary action -depending upon the severity of the action. This does not mean the child misses practice, practice session must still be made, regardless of what punishment is mandated, at home or on the field -it is the practice (without playing in the game) that will jolt the child into making the necessary character adjustment.

2) Practice is important, therefore if an athlete does not attend practice the coaching staff is not required to play them in games or have them cheer at games and/or competition. All excused absences need to be cleared with the players head coach at least a week in advance unless an emergency arises. Once the head coach is informed of the emergency which has to be confirmed by a parent and/or guardian of the participating child, the player will be excused. At all weight levels, excuses have to be confirmed by the parent -but only players are allowed to communicate pending problems to the Head Coach. This is the start of our young children learning the responsibility of facing their coach, educator/teacher, future employer, problems, fears etc...and standing and speaking up for themselves with confidence to address their issue -not allowing mom or dad to speak and do for them what they can do for themselves -but to start taking ownership of their actions and their lives.

3) On the field of play the coaching staffs word is the final word not parents/guardians/family members, or friends. Talking back disrespectfully, use of profanity toward each other or toward coaches, or any other form of disrespect will result in disciplinary action(s).

4) Parents or other Coaches are prohibited from verbally attacking, harassing, or challenging the coaching staffs strategy and authority during practice or games. If they have a need to speak out about a matter on the field, we ask that you pull the coaches aside after practice or games to discuss the matter with the intent to help and not to cause discord. If parents do not handle matters as stated in the prior sentence and the offense continues during practice and games, the organizations officials will ask you to leave the field. If coaches do not handle it through this process then he/she will be asked to leave the field of play and may forfeit their position as a coach within the organization. If you persist even after we asked you to leave the field of play, we will then have the authorities remove you.

5) Players are responsible for there equipment not their parents. If your equipment needs repair, you must tell your coach immediately. For smaller players the mandate is the same. Although players may not be able to wash their uniforms by themselves and keep them clean -they can keep them organized and in a place where nothing is lost, stolen or misplaced.

Do not practice or play with broken or defective equipment because there's greater risk for injury. If you come

to a game or practice without your equipment you will not play in the game that week and disciplinary action will follow.

6) Parents are prohibited from the practice field during practice. You must watch practice from the outskirts of the entire field

unless you become a coach your not allowed on the field. Parents are not allowed to enter the playing field even after the

game has ended, you must wait until the coach brings the team off of the field of play first before you come around the team. In addition, no parent is allowed to take their child from the team until the Coaching Staff is officially done addressing the team. This goes for practices and games.

Disciplinary Action:

If a player doesn't follow the rules of the team he/she will face disciplinary action. Running is an everyday part of practice; however, running may also be used to discipline a player/cheerleader. Crab crawls, pushups, grass drills, etc. may used for minor incidents (i.e. not paying attention, not following instructions). A player may be asked to leave practice early for more severe incidents such as fighting or profanity. If a parent is not present the player will be supervised until the child is picked up. Game suspensions may be used as a last resort for any prolonged or more serious offense.

Practices: Rules for Football Players and Cheerleaders

The wildcat organization will begin practice August 1st Monday thru Friday between 6pm-8pm. Beginning in September the practice schedule will be reduced to 3 practices a week. The head coach for each team will determine the 3 days of practice. Our coaching staffs will train you to be mentally and physically prepared to play football and participate in cheerleading, and when you are missing practice you are missing important and valuable information that will prepare to be a better athlete.

The following will be used as a guideline for absent players.

1. Missed practice without a phone call to your coach

Player/Cheerleader will not start in game that week.

2. Two missed practices without a phone call to your coach.

Player/Cheerleader will not play in game that week.

3. One missed practice with phone call to your coach.

Player/Cheerleader will not start game that week.

4. Two missed practices with phone call to coach.

Player/Cheerleader will not play until second half or will miss the entire game.

Dances, incomplete homework, other team games etc. are NOT excused absences. We play and practice in the rain, heat, snow and the cold weather.

Lightening will be the only weather related cancellation.

c) Approval of Exhibition Games

1) Scheduling of all exhibition games must first be approved by the Board of Governors. This is to ensure that facilities are available for home games and scheduling does not interfere with the normal functions of the Wildcats. In addition, the Athletic Director and his/her assistant must have a full report to the Board in regards to the location and field condition of teams for all away games so the Board can make an intelligent decision when determining if a field is safe for Wildcat competition.

2) Whenever possible, every attempt should be made to schedule pre-season games for all weight classes against a common opponent. Such games can only be scheduled with the prior knowledge and consent of all Head Coaches and the approval of the Athletic Director and Board of Governors.

3) Wildcat teams that participate in conference playoffs and championships are not eligible for any further post-season games unless approval is given by the Board of Governors.

4) Wildcat Junior Varsity teams may schedule one post-season game with prior approval of the Board of Governors. Junior Varsity post-season games will only be reviewed by the Board of Governors if one of the two criteria are present. 1.) The Junior Varsity teams has a winning season. 2.) The Board of Governors believes the organization can benefit financially from such a game. Each JV team will be evaluated separately.

5) The Board of Governors has the right to prevent both varsity and junior varsity teams from entering post season play due to unruly fans, coaches and/or players.

ARTICLE VI Officers

Section 1: The Appointment/Electing of Board of Governors/Officers

During the fourth Tuesday of October, the President will be responsible for publicizing the need for volunteers to serve on the Board. Public announcements, media advertisements, or individual letters to the general membership may be used as sources of publicity.

All adults within the general membership with the exception of Head Coaches, who are automatically members of the Board, are eligible to serve on the Board of Governors.

Appointment of Board Members will be as follows: Prospective Board Members may submit their names, applications (provided by the existing Wildcat Board of Governors) and a one page cover letter stating their desire to become a board member and why -to the existing President by November 15th of the same competitive year. The Board will interview all candidates and notify them of their acceptance or denial by November 22nd of the same competitive year. The President will convene the new Board during the fourth Tuesday of November at which time Board positions will be determined.

The Board of Governors will consider applicants who: a) have past experience with other boards; b) have past experience with other youth groups; c) had fiduciary success with other boards and/or youth groups; d) have been interviewed by all members of the Executive Board; e) have all paper work and documentation in order (code of ethics, resume’, letter of intent, criminal/child background check); f) proven track record of bringing solid resources to the past board they have served with; g) passed all background checks for identification purposes.

In addition to submitting their application and letters of interests, each prospective member must submit copies of their Child Abuse clearance document and their Philadelphia Criminal background check, along with a copy of the money order used to pay for the investigation. This was mandated by the Board of Governors on February 12, 2001.

The current President will preside over the selections and will cast the tie breaking votes if needed.

The new Board Members and officers will be announced at the annual Banquet. The new Board will take office on January 1st following that same competition year. In the event there are more candidates than vacancies, then the President will preside over an election for the general membership. The ballots will list all candidates. The membership will vote to fill the required number of vacancies. With the initiation of Board elections the Board will expand to include President, Vice President, Secretary, Treasurer, Athletic Director, Coach Advisors, Assistant Secretary and Assistant Treasurer.

Section 2: Terms of Office

All officers will serve a term of (2) years with the exception of the four (4) advisors whose term will be one (1) year in length. Officers may not serve more than one complete term in the same office unless a majority vote of the Board of Governors extends the officers terms for another (2 year period). The President, Treasurer, Assistant Secretary and Assistant Treasurer will be elected in odd-numbered years. The Vice President and Secretary will be elected in even numbered years.

The Head Coaches and Cheerleading Representatives are in no way restricted as to the number of successive terms they may serve as advisors. The other advisors are limited to one (1) term.

Section 3: Officers Duties the officers of the Wildcats will perform the following duties as outlined and other duties as prescribed by the President and Vice President where applicable.

    • President
      1. To preside as the Chairperson at the Board meeting or any general membership meeting
      2. To appoint and approve the appointment of all committee Chairpersons with the exception of the Coaches Committee
      3. In conjunction with the treasurer, will authorize/approve expenditures of all funds
      4. Will execute and sign all documents on behalf of the organization
      5. Will serve, when needed, as the Wildcats Representative at Conference Meetings
      6. Will ensure the implementation of an Insurance Policy that has been approved by the Board of Governors
      7. Will work with the Athletic Director to review, shape and lay out all orientation information for all Coaches as the final coaches meeting before the beginning of the season (first week of July)
      8. To review, edit, assist with re-writes and approve all policy and procedure manuals for all participating programs. To use his/her executive option to ensure that all personnel and line of operation are adhering to these policies and procedures and to take the necessary steps to implement suspensions for those who don’t.
      9. To be available within reasonable hours for meetings with sponsors, league officials, government agencies, partners, funders and other individuals who can help the Wildcats achieve all goals.
      10. To develop and bring additional resources to the Wildcats disseminating these resources to each Committee through a cross-functional team approach
    • Vice President
      1. In the Absence of the President, will assume the duties and responsibility of the President in addition to other duties assigned by the President
      2. To preside over all Committees, assisting with the management of all Committee activities through the committee Chairpersons Including the Athletic Director. This position is over the Operations of the Greater 69th Street Wildcats.
      3. To develop and bring additional resources to the Wildcats disseminating these resources through a cross-functional team approach/process
    • Secretary
      1. Will be the custodian of all records of the organization including mailing lists, registration fees and roster updates, except for the financial records entrusted to the Treasurer
      2. Will keep the minutes of all meetings of the Board of Governors and General membership. Will make sure minutes are taken by each Committee and are held in the same standard as meeting minutes from the Board of Governors.
      3. Will be able to provide any member with a electronic copy or hard copy upon request.
      4. Will create a standard system to make sure that the proper written notices and phone calls will be made to the appropriate members and Committee participants in the appropriate time frame for each and every meeting
      5. Will develop a relationship with the Secretary of the Conference that the Wildcats participate in and gather all meeting minutes from that Secretary for distribution to all the Board of Governors for the Wildcats at least five days upon receiving such meeting minutes.
      6. To assist the Webmaster in all efforts to update and manage the information on the Wildcats Website
      7. To provide all Wildcat teams with copies of the orientation package, policies and procedure manuals, flyers, directions to away fields and any other relevant information needed to manage each Wildcat team
      8. To keep all records of legal and written correspondence to and from interested parties who may want to assist the Wildcats in achieving their goals. Correspondence may also come in the form of surveys, testimonials and feedback from parents/guardians of participating children
      9. To bring additional resources to the Board of Governors for the Wildcats. And to keep all records/copies of background checks
    • Assistant Secretary
      1. Act in absence of the Secretary and therefore, keeps current on Secretarial operations
      2. Assists the Secretary on all Secretarial duties and bring additional resources to the Board of Governors for the Wildcats
    • Treasurer / Assistant Treasurer
      1. Will be responsible for the timely collection and banking of the organizations revenue
      2. Will prepare a detailed, type written, financial budget for each of the Board of Governors. Will provide a hard copy and a computerized emailed copy
      3. Suggests to the Board of Governors possible investment opportunities
      4. Will keep true, accurate and detailed accounts of all monies received by all individuals, committees and agencies supporting the Wildcats
      5. Will provide a report that summarizes the Wildcats financial situation at all Board and General Membership meetings
      6. To fill out and keep a record, copying the Secretary, of all Credit Reports and Credit Applications approved to be filled out by the President, Treasurer, Athletic Director or Vice President.
      7. To meet with various financial institutions to gather information to make strong recommendations for how the Wildcats money can be saved, managed and invested and with what institution.
      8. To develop lines of credit with vendors, financial institutions, and government agencies for the Wildcats when needed
      9. To fill out and/or provide financial documentation in the form needed to all funders and potential funders. This includes, but is not limited to completing all end of year tax documents and filing them correctly with the Internal Revenue Service.
      10. To bring additional resources to the Board of Governors of the Wildcats
    • Advisors / Recruitment
      1. To attend one fall scheduled Board of Governors meeting scheduled by the President and/or Vice President
      2. To offer their advice/expertise on matters relating to the advancement of the Wildcats Athletic Association
      3. To serve on Committees as designated by the Vice President when applicable
      4. To bring additional resources to the Wildcats Board of Governors
      5. To Act as the Recruitment Committee to recommend areas of recruitment for players, cheerleaders, coaches and new board members.
    • Athletic Director
      1. Presides over the Coaches Committee and oversees the policies and procedures that govern all Coaches
      2. Responsible for orchestrating an orientation for new and returning coaches, two months in advance of the season starting
      3. At the regularly scheduled Board of Governors meeting in February of the pending competitive year, the Athletic Director will submit the names, addresses, zip codes, telephone numbers, fax numbers and email address (if applicable) for ALL coaches
      4. At the regularly scheduled Board of Governors meeting in June of the pending competitive year, the Athletic Director will provide copies of all Criminal Background and Child Abuse Verification applications and certified documents submitted to him/her in the May coaches meeting.
      5. Make sure all agencies are contacted (the Monday before that weekend’s competition) to ensure all home games will run smoothly. This includes but is not limited to lighting for any night games, field lining, field management, league reps from away teams (to re-confirm the times of games), scheduling of officials, chain crew for each game (names and telephone numbers to be submitted by Head Coaches to the AD by August 15th of the existing competitive year), gathering all game balls and storing them in a safe place for distribution during game day.
      6. To work closely with the Secretary to distribute all detailed information about additional Conference teams to all Head Coaches and the Board of Governors. This includes but is not limited to, directions to opponents field, address and contact information for opponents Head Coaches and League Representatives, game times for away games and any Bert Bell angles needed to increase our teams chances to win.
      7. To work with the Secretary to have all Bert Bell weekend reports properly filled out and handed in to the Bert Bell Commissioner on time
      8. To work with the Treasurer to make sure all Officials are paid at home and neutral field competitions
      9. To take inventory of all equipment and uniforms, including helmets at the end of the year and develop a partnership with a professional company that can recondition and/or replace the equipment at an optimum price so the Wildcats can provide state of the art basic necessities for competition (accomplish this by working with the Treasurer and the Vice President)
      10. To provide sound leadership and counsel to all coaches during the season
      11. To work closely with the Cheerleaders to ensure that their needs are met within budgetary parameters

ARTICLE VII

Committees

Section 1: Purpose

In order to adequately conduct the business of the Association, the President, as his/her discretion, may assign committees to perform specific functions. In addition, because of the way some non-profits evolve, out of necessity there may be just cause to approve a committee where there is a need. Such committees will be comprised primarily of Wildcats Members with the Board of Governors assigned as moderators. Each committee will select its own Chairperson. The committees mandated herein are the Coaches, Public Relations, Fund Raising, Banquet, Registration, Concessions, Cheerleading, Team Parents, Ad Booklet, Development and Rules and Research.

Section 2: Authority and Objectives of Committees

Each Committee Chairperson has full authority over all activities performed by his/her group; however, such activities, as appropriate, must meet with the approval of the Vice President and the Board of Governors. The Committees are also charged with using the resources the Board of Governors bring to the organization for the common good of the organization.

Each Committee Chairperson will have full voting rights as a member of the Board of Governors. Chair’s will be held to the application standards of all Board of Governors and be tied to the responsibilities and duties that the Wildcat Board submits to.

a) Coaches Committee it is understood that the following responsibilities are to be owned by all coaches for the Greater 69th Street Wildcats Athletic Association.

  1. This committee will consist of the Athletic Director and All Coaches for the Greater 69th Street Wildcats Athletic Association
  2. The Athletic Director will set meetings for the coaches to provide updates and direction before and during the competition year
  3. To develop techniques on how to provide every child with instruction to help them become a better cheerleader and football player following the lines of the mission statement and purpose of the Wildcats
  4. To share information passed to each team to keep all lines of coaching organized, manageable and professional
  5. To ensure that all coaches understand and abide by the Code of Ethics
  6. To assist every coach on the policies and procedures of coaching Flag, Varsity and Junior Varsity players, as well as Cheerleaders.
  7. To develop every level of Wildcat into a winning and competitive division
  8. To bring additional resources to the Wildcats organization that will help the coaches increase their skill level, help save money or raise money and increase the awareness of the Wildcats organization locally and nationally.
  9. To ensure that all coaches participate in all fund-raisers and events for the organization approved by the Board of Governors.
  10. To develop and maintain a scouting schedule, with fundamental layouts of X’s and O’s in regards to opponents tendencies. To funnel this information to the appropriate coaches at the appropriate levels
  11. To update all playbooks each year or when needed and have them distributed to all coaches

b) Public Relations

  1. To develop media campaigns that provide the various publics in Philadelphia and its surrounding area with the awareness of what the organization is doing with young people.
  2. To establish links to local and national media for the placement of advertising and public service announcements
  3. To oversee the management of the Wildcats Website
  4. To develop a Wildcat logo and letterhead
  5. To oversee all correspondence outside of the Presidents chamber for the purpose of introducing the organization to sponsors, media, investors and additional interested parties looking to help the Wildcats achieve its organizational goal
  6. To accomplish all tasks within the confines of the rules and regulations of the Wildcats, as well as the approval of the Board of Governors
  7. To constantly develop the sponsorship and press packages for public review

c) Banquet Committee

This committee will be responsible for coordinating activities involved in preparing for and ensuring the success of the “end of year” awards banquet. The activities include but are not limited to meeting with banquet halls and caterers to confirm them as a vendor, developing a program and printing and selling tickets. The organization is moving towards providing the members with an awards ceremony that details an optional catered meal following the ceremony.

d) Ad Book Committee

This committee is responsible for developing the ad booklet campaign to be presented to the parents on August 1st and throughout the first four weeks of practice. The objective is to raise money for the organization to offset Banquet expenses for the end of year event. Additional money left over will be to cover operational expenses during the off-season. The committee will be held responsible for meeting with and developing the layout of the booklet, developing the sponsorship and ads that will go in the booklet, as well as the printing timelines needed to produce the booklet in completion and have it ready for distribution one week before the end of year event.

e) Registration Committee

  1. To work with all Head Coaches and the Secretary to develop a registration process that is detailed with a strong follow up and checks and balances so the we can track each payment and each child registered
  2. Will provide registration of all participants for all teams/squads which are to be turned over immediately to the Treasurer
  3. To maintain and update all records including the Wildcat database, registration fees, roster updates for game day review and final rosters to be turned in to the existing parent Conference.
  4. To make sure all forms, Code of Ethics, Registration and Physical Forms are properly filled out and signed

d) Cheerleading Committee

  1. The committee will be the staffing and overseeing of the cheerleading program under the approval of the Board of Governors
  2. Parental complaints and internal coaches complaints concerning the structure and staff will be addressed similar to those contained in Article V, Section 5B. With the Wildcats Vice President acting as fact finder, along with the Athletic Director. The Cheerleading Director will report to the Athletic Director and will be on the same level as a Head Coach.

e) Concessions Committee

  1. The primary responsibility of this committee includes the operation of the concession stand during home games and practices, as well as the disbursement of Referee Fees and the Medical Personnel fees required by the Bert Bell Memorial Football Conference under the supervision of the Treasurer.
  2. The committee will also be responsible for attending to the stand during all home games. If enough volunteers are acquired, then one game time per day will be the minimum.
  3. The Director of Concessions will solicit the Board of Governors for start up funds at the beginning of each season. A budget will have to be put together and strict records kept, as well as an inventory log to track usage. The Director of Concessions will report directly to the Treasure and the Vice President

f) Fund Raising Committee

Is responsible for developing off season and on-season fundraisers that will raise money outside of all concession stand activities to offset game day expenses for the Wildcats.

g) Development Committee

The Development Committee will coordinate all grant writing and proposal development for all potential funders for the Wildcat organization. The committee will make sure that all financial information and organizational overviews are properly written into the request exactly like the funding source has requested it.

h) Team Parents Committee

An Ad-Hoc committee created during the season from willing parents who assist with administrative and field management duties. These duties include but are not limited to: setting up and breaking down the field, calling all parents to set up parents meetings, disseminate information and tickets to parents in a structured and professional manner, assist Secretary and Treasurer with official roster updates from week to week and answer (non-decision making) questions that parents may have about the Wildcats. .

i) Rules and Research Committee

  1. This committee was created in 2002 to specifically review all of the Rules and Regulations that the Wildcats are governed by in whatever conference the club participates. The committee is charged, by the Vice President, to develop clear understandings of the parent conference rules to ensure that the Coaches and Wildcat children get a fair shake when competing against opposing teams and squads.
  2. In addition, the committee is charged to develop a think tank to gather local and national information about the life cycles, ethics, plays, rules, by-laws, funding sources, structure, mission statements, areas of success and areas of improvement of youth football and athletic associations across the country. The objective is to share the successes of the Wildcats, while using the successes of other organizations to our advantage. We would like to take our show on the road (outside of the state of Pennsylvania) to compete, in pre-season competition with teams in Washington, DC Baltimore Harrisburg Miami Virginia and the entire East Coast.

ARTICLE VIII Head Coaches Section 1: Selection

The following criteria must be met for you to be considered:

Complete criminal and child abuse background checks finalized.

You must be an assistant head coach/coordinator of any of the weight teams for at least 2yrs to be eligible (this excludes flag coaches immediate consideration). The only exception to this rule is if the organization does not have enough coaches and need to promote from the flag coaches or outside of the organization.

After these two have been met the following things will (add on) be(stop)evaluated and considered:

a) Your communication with fellow coaches, players, and parents b) Your Tardiness/Timeliness to practice, games, meetings c) Your organizational skills with regard to the uniformity and preparation of your team/ the part of

the team that your responsible for.

d) Respect for league and organization officers, your coaching colleagues, players, and general members (parents)/supporters e) The overall functional success of the part of the team that you coach even if the team as a

whole had a bad season f) Handling issues the proper way through the due process policies of the organization

g) Follows the system without deviation laid down by the Athletic Department

h) Coaches must show a consistent record in supporting Wildcat fundraisers-100% participation/ finances

Coaches on the flag football team must transfer to a weight class team as an assistant head coach/coordinator position to be eligible the following year. They will be eligible after only one year of service with a weight class team. The final candidates must have the approval of the coaches committee and athletic department before final approval is given by the Board Of Governors.

Those who meet this criteria will warrant an interview by the Athletic Department

The Athletic Department will then make its recommendations to The President and The Board of Governors for the final decision.

Section 2: Responsibility

The Head Coaches are responsible for organizing and directing their individual programs.

They must ensure strict adherence to all Bert Bell Conference and Wildcat By-Laws and Rules. This includes the selection of a coaching staff that meets the approval of the Board of Governors. Also, they are responsible for formulating and implementing team policies covering rules, discipline, playing time and practice schedules. Copies of said document must be submitted through the Coaches Committee to the Board of Governors for approval. Each coaching staff is responsible for making sure their team has the proper equipment, first aid and liquids on the sideline of each game.

Section 3: Communication

He/She will ensure that they have in place a rain out plan so that the games and/or practices can be cancelled with little or no confusion to the players and their parents/guardians.

Section 4: Recruitment

He/She is responsible for making sure they build a recruitment committee for their specific weight division. The Team Parents Committee can be solicited to help. It is the hope of the organization to retain all coaches, however, attrition rates are high in volunteer organizations. A Head Coach should never be caught without enough staff to properly manage a team. Personality dynamics, lack of respect for the rules coaches need to follow, moving, family structure, economics, time and other related matters may cause us to lose coaches. Head Coaches should always be prepared to fill staffing needs.

Section 5: Meetings

He/She will be committed to attend ALL coaches meetings.

Section 6: Junior Varsity Coaches

In the event that a program has enough players to adequately field both varsity and junior varsity (JV) teams, it will be the varsity Head Coaches’ responsibility to make the decision, along with the Athletic Director, to form a (JV) team and appoint a coaching staff with the approval of the Board of Governors. It will be his/her further responsibility to keep an active interest in and provide instruction and direction to the JV coaches and the program. JV Coaches will be entitled with “Head Coaches” status and maintain a Board of Governors position with a 1/2 vote as a Board Member (as of August 7, 2006 for voting change/June 22, 2004 becoming board member).

It is important to note that the JV program is based on the premise of development. All players must get a significant amount of playing time at the Junior Varsity levels on offense, defense and special teams. Each player must have a starting position on one of these teams. It is the objective of the JV coaches to prepare the younger, less skilled players for the Varsity levels the following year. Winning is important, but development is the top priority with JV Development comes before winning at this level.

ARTICLE IX Trophies and Awards

Only those trophies or awards approved by the Board of Governors will be given to individual team players. At the discretion of the Board of Governors, additional awards can be issued to team players or members of the community. Awards will NOT be given to players and cheerleaders that have not completed the season (BY CHOICE). Injured or sickly players and cheerleaders will receive their trophy at the end of the year.

The Graduate Award is given to those players who have participated in all of the football weight programs and those cheerleaders who have participated for five years with three years on any of the Junior Squads and two of those years on the Senior Squad.

The Wildcats Award is given to one of our Association members for meritorious service within or organization

An Award is give by the Head Coaches Committee to an individual who has contributed most of their time to assisting the organization and enhancing the accomplishments of the Wildcats during the course of the season.

ARTICLE X

Finality

If and when the organization dissolves, it will dissolve under the section 501© (3) of the Internal Revenue Code. The 501©(3) number is : 23-2919999; ID# 31434 (JANUARY 19, 2001). The Wildcats are a United Way Donor Option: Code # 14124 (JUNE 15, 2001).

The Greater 69th Street Wildcats Athletic Association will be subjected to the By-Laws Rules and Regulations of the Bert Bell Memorial Football Conference, Inc. as of August 1, 1994. The Public can receive a copy of the Bert Bell By-Laws and Rules by submitting, in writing, a request to the Board of Governors of the Greater 69th Street Athletic Association.
